This website (the "Site") is owned and operated by Docere Consulting Group, LLC (“Docere Consulting Group” "we" or "us"). By using the Site and any products or services offered on or purchased through our Site, you agree to be bound by these Terms of Use and to use the Site in accordance with these Terms of Use, our Privacy Policy, our Refund Policy and any additional terms and conditions that may apply to specific sections of the Site or to products and services available through the Site or from Docere Consulting Group. Accessing the Site, in any manner, whether automated or otherwise, constitutes use of the Site and your agreement to be bound by these Terms of Use. 

We reserve the right to change these Terms of Use or to impose new conditions on use of the Site, from time to time, in which case we will post the revised Terms of Use on this Site. By continuing to use the Site after we post any such changes, you accept the Terms of Use, as modified.

You also agree not to make any purchases for speculative, false or fraudulent purposes or for the purpose of anticipating demand for a particular product or service. You agree to only purchase goods or services for yourself or for another person for whom you are legally permitted to do so. 

Interactive Features

This Site may include a variety of features, such as bulletin boards, web logs, chat rooms, and email services, which allow feedback to us and real-time interaction between users, and other features which allow users to communicate with others. Responsibility for what is posted on bulletin boards, web logs, chat rooms, and other public posting areas on the Site, or sent via any email services on the Site, lies with each user - you alone are responsible for the material you post or send. We do not control the messages, information or files that you or others may provide through the Site. It is a condition of your use of the Site that you do not:

  • Restrict or inhibit any other user from using and enjoying the Site.

  • Use the Site to post, transmit or in any way exploit any information, software or other material for commercial purposes, or that contains advertising. 
  • Use the Site to advertise or solicit to anyone to buy or sell products or services, or to make donations of any kind, without our express written approval. 
  • Gather for marketing purposes any email addresses or other personal information that has been posted by other users of the Site. 

Docere Consulting Group may host message boards, chats and other private/public forums on its Sites and on other platforms. Any user failing to comply with the terms and conditions of this Agreement may be expelled from and refused continued access to, the message boards, groups, chats or other such forums in the future. Docere Consulting Group or its designated agents may remove or alter any user-created content at any time for any reason. Message boards, chats and other public forums are intended to serve as discussion centers for users and subscribers. Information and content posted within these public forums may be provided by Docere Consulting Group staff, Docere Consulting Group's outside contributors, or by users not connected with Docere Consulting Group, some of whom may employ anonymous user names. Docere Consulting Group expressly disclaims all responsibility and endorsement and makes no representation as to the validity of any opinion, advice, information, or statement made or displayed in these forums by third parties, nor are we responsible for any errors or omissions in such postings, or for hyperlinks embedded in any messages. Under no circumstances will we, our affiliates, suppliers, or agents be liable for any loss or damage caused by your reliance on information obtained through these forums. The opinions expressed in these forums are solely the opinions of the participants, and do not reflect the opinions of Docere Consulting Group or any of its subsidiaries or affiliates. 

Docere Consulting Group has no obligation whatsoever to monitor any of the content or postings on the message boards, chat rooms or other public forums on the Sites. However, you acknowledge and agree that we have the absolute right to monitor the same at our sole discretion. In addition, we reserve the right to alter, edit, refuse to post or remove any postings or content, in whole or in part, for any reason and to disclose such materials and the circumstances surrounding their transmission to any third party in order to satisfy any applicable law, regulation, legal process or governmental request and to protect ourselves, our clients, sponsors, users and visitors. 

Registration

To access certain features of the Site, we may ask you to provide certain information including your name and address. In addition, if you elect to sign-up for a particular feature of the Site, such as chat rooms, web logs, or bulletin boards, you may also be asked to register with us on the form provided and such registration may require you to provide personally identifiable information such as your name and email address. You agree to provide true, accurate, current and complete information about yourself as prompted by the Site's registration form. If we have reasonable grounds to suspect that such information is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof). Our use of any personally identifiable information you provide to us as part of the registration process is governed by the terms of our Privacy Policy.

Passwords

To use certain features of the Site, you will need a username and password, which you will receive through the Site's registration process. You are responsible for maintaining the confidentiality of the password and account, and you are responsible for all activities (whether by you or by others) that occur under your password or account. You agree to notify us immediately of any unauthorized use of your password or account or any other breach of security, and to ensure that you exit from your account at the end of each session. We cannot and will not be liable for any loss or damage arising from your failure to protect your password or account information.

Limitation of Liability

UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL DOCERE CONSULTING GROUP, OUR OWNERS, MEMBERS, MANAGERS, EMPLOYEES, SUBSIDIARY AND PARENT COMPANIES OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE SITE, INCLUDING OUR MESSAGING, BLOGS, COMMENTS OF OTHERS, BOOKS, EMAILS, PRODUCTS, OR SERVICES, OR THIRD-PARTY MATERIALS, PRODUCTS, OR SERVICES MADE AVAILABLE THROUGH THE SITE OR BY US IN ANY WAY, EVEN IF WE ARE ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES. Termination

We may cancel or terminate your right to use the Site or any part of the Site at any time without notice. In the event of cancellation or termination, you are no longer authorized to access the part of the Site affected by such cancellation or termination. The restrictions imposed on you with respect to material downloaded from the Site, and the disclaimers and limitations of liabilities set forth in these Terms of Use, shall survive.

Refund Policy

DMCA

The Digital Millennium Copyright Act of 1998 (the "DMCA") provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under the U.S. copyright law. If you believe in good faith that materials hosted by Docere Consulting Group infringe your copyright, you, or your agent may send to Docere Consulting Group a notice requesting that the material be removed or access to it be blocked. Any notification by a copyright owner or a person authorized to act on its behalf that fails to comply with requirements of the DMCA shall not be considered sufficient notice and shall not be deemed to confer upon Docere Consulting Group actual knowledge of facts or circumstances from which infringing material or acts are evident. If you believe in good faith that a notice of copyright infringement has been wrongly filed against you, the DMCA permits you to send to Docere Consulting Group a counter-notice. All notices and counter notices must meet the then current statutory requirements imposed by the DMCA; see http://www.loc.gov/copyright for details. This Agreement shall be binding upon and inure to the benefit of Docere Consulting Group and our respective assigns, successors, heirs, and legal representatives. Neither this Agreement nor any rights hereunder may be assigned without the prior written consent of Docere Consulting Group. Notwithstanding the foregoing, all rights and obligations under this Agreement may be freely assigned by Docere Consulting Group to any affiliated entity or any of its wholly owned subsidiaries.

Dispute Resolution

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Oregon and any dispute shall be subject to binding arbitration in Amity, Oregon. If any provision of this agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

Class Action Waiver 

You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren't allowed.

The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a class or representative proceeding or claims (such as a class action, consolidated action or private attorney general action) unless all relevant parties specifically agree to do so following initiation of the arbitration. 

Severability

If any clause within these Terms of Use (other than the Class Action Waiver clause above) is found to be illegal or unenforceable, that clause will be severed from the Terms of Use, and the remainder of the Terms of Use will be given full force and effect. If the Class Action Waiver clause is found to be illegal or unenforceable, this entire Class Action Waiver clause will be unenforceable and the dispute will be decided by a court.

Disclosure Policy

Docere Consulting Group believes in honesty. Docere Consulting Group is an affiliate with Dr. Tyna LLC, which owns Dr.Tyna supplements, and both companies are owned by Dr. Tyna Moore, ND, DC.  In addition, we may affiliate with other third-party products and services for which we will receive a commission if you purchase through our or any Dr.Tyna links. If we link to or offer any other content, products or services for which we receive a commission, we will provide an applicable disclosure near such link or offer content. 

As a policy, Docere Consulting Group will only affiliate with products and services that we believe will provide value to our customers and followers. Even though we may receive compensation, we always give our honest opinions, findings, beliefs, or experiences on those topics or products. 

While we are committed to only affiliating with products and services that we believe will provide value, we make no warranties, guarantees, or representations as to the effectiveness or safety of said products or services or to statements of such third parties. As a visitor of the Site, you recognize that it remains your personal responsibility to investigate whether any such products or services are right for your personal circumstances and whether they will benefit you. You will not rely on any recommendation, reference, or information provided by us on this Site but will instead conduct your own investigation and will rely upon your investigation to decide whether to purchase the product or service. TERMS OF USE FOR ONLINE COURSES AND PROGRAMS

Please read these Terms of Use for Online Courses and Programs (the “Terms of Use”) carefully before purchasing, accessing, or using any Online Courses and Programs brought to you by Docere Consulting Group LLC.

You must agree to these Terms of Use before purchasing, enrolling in, accessing, or using any online course, class, program, workshop, or training (each aProgram” and collectively the “Programs”) owned, operated and sold by Docere Consulting Group, LLC (“Docere Consulting Group”, “we,” “our,” or “us”).  These Terms of Use apply to all of our Programs wherever hosted, whether on a website operated by us or on a third-party website such as Kajabi or another similar website. The term “you” refers to any purchaser, user and/or participant of any Program.

By purchasing or using any of our Programs, you accept and agree to these Terms of Use, and you are required to act in accordance with them, whether or not you have read them. If you do not want to agree to these Terms of Use, you must not purchase or use any our Programs.

These Terms of Use state how you may use our Programs, including any and all materials made available to you in the Programs. This includes, without limitation, the words, design, layout, look, appearance, graphics, photos, images, information, materials, documents, data, videos and video files and recordings, voice/audio files and recordings including downloadable Mp3 audio files, webinars and recorded webinars, e-mails, downloadable PDFs, worksheets, workbooks, forms, guides, questionnaires, e-books, handouts, slides, and all other similar materials and all other information and intellectual property accessible on or through the Programs and any website or e-mails we may use to distribute or host the Program or any part thereof, as well as the look and feel of all of the foregoing (collectively, the “Program Content”). 

These Terms of Use require the use of arbitration on an individual basis to resolve disputes, rather than jury trials, and limit the remedies available to you in the event of a dispute. You fully understand and agree that by purchasing and/or using a Program that you are waiving certain legal rights and you are voluntarily agreeing to do so.

YOU ARE NOT PERMITTED TO SHARE YOUR LOGIN INFORMATION SUCH AS USERNAME AND PASSWORD TO ACCESS OUR PROGRAMS WITH ANYONE ELSE. YOU ARE NOT PERMITTED TO RECORD OR RE-POST OUR PROGRAM CONTENT, INCLUDING VIDEOS, ANYWHERE SUCH AS A FACEBOOK PAGE OR OTHER PUBLIC AREA TO ALLOW OTHERS TO ACCESS OR VIEW OUR PROGRAM CONTENT WITHOUT PAYING. Payments 

You agree to the payment schedule that is provided or selected on the sales page for the Program. Depending on the Program, it may be a one-time upfront fee, a recurring fee, installment plan or other payment schedule.

If enrolling in any subscription, recurring fee, or installment plan, you give Docere Consulting Group permission to automatically charge your credit card or debit card for all fees and charges due to Docere Consulting Group as payment for the Program without any additional authorization, for which you will receive an electronic receipt. You also agree that Docere Consulting Group is authorized to share any payment information and instructions required to complete the payment transactions with any third-party payment service providers (e.g., credit card transaction processing, merchant settlement, and related services). Docere Consulting Group cannot control and has no responsibility or liability for the policies or actions of the payment processing companies.

If you sign up for a recurring payment plan or installment payment plan when any such plan is offered, in the event that a payment is not received by the date due for any reason, you will receive an email notifying you that you have a one (1) day grace period to provide a valid payment, otherwise Docere Consulting Group reserves the right to terminate your access to the Program and all Program Content immediately and permanently.

If you fail to make payment in a timely manner in accordance with these Terms of Use or voluntarily decide to withdraw from the Program at any time or for any reason whatsoever, you will still remain fully responsible for the full cost of the Program and all payments in any payment plan.

You agree to only purchase a Program for yourself or for another person for whom you are legally permitted to do so or for whom you have obtained the express consent to provide their name, address, method of payment, credit card number, and billing information. And you agree to be financially responsible for any purchases made by you or someone acting on your behalf.

Refund Policy 

Each specific Program will specify its own refund policy. Please see the purchase page for the specific refund policy for the Program you are purchasing. 

Docere Consulting Group does not tolerate or accept any type of chargeback threat or actual chargeback from your credit card company or the payment processor. In the event that a chargeback is placed on a purchase or Docere Consulting Group receives a chargeback threat during or after your purchase, Docere Consulting Group reserves the right to report the incident to all three credit reporting agencies or to any other entity for inclusion in any chargeback database or for listing as a delinquent account which could have a negative impact on your credit report score. The information reported will include your name, e-mail address, order date, order amount, and billing address. If you then wish to have this report removed from your credit report, you must make the payment owed for the amount of the chargeback. Once payment owed is received, the appropriate reports to the credit agencies will be made.

Our Programs, including without limitation, the words, design, layout, look, appearance, graphics, photos, images, information, materials, documents, data, videos and video files and recordings, voice/audio files and recordings, webinars, worksheets, workbooks, forms, guides, questionnaires, e-books, handouts, slides, and all other similar materials and all other information and intellectual property accessible on or through the Program and any website or e-mails Docere Consulting Group may use to distribute or host the Program or any part thereof, whether owned and operated by Docere Consulting Group or a third-party, as well as the look and feel of all of the foregoing (collectively, the “Program Content”; previously defined and stated here again for further clarity and avoidance of doubt) are the property of and solely owned by Docere Consulting Group and/or our affiliates, licensors, or suppliers unless otherwise noted, and are protected by copyright, trademark and other laws that protect intellectual property and proprietary rights. 

You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained on or in the Program Content as well as these Terms of Use. 

When you purchase a Program or view or access any Program Content, Docere Consulting Group is granting you a limited, revocable, non-transferable, non-exclusive license to access and use the Program and Program Content for your own personal, non-commercial use ONLY. This license is limited to you only for your personal use, and NOT to resell or use in any way to sell or share as your own.

You are NOT permitted to share any Program Content with your colleagues, friends, family, or any other person. If they would like access to the Program, they must purchase their own license to the Program separately. If we learn that you share your access to any of our Programs, this is considered copyright infringement and theft and will be treated as such as set forth below in “Unauthorized Use and Infringement of Program Content.”

When you purchase a Program, you may watch, listen to, download and/or print Program Content for your own personal use, BUT you are NOT permitted to copy, duplicate, reprint, republish, reproduce, sell, display, disclose, share, redistribute or re-sell any part of the Program Content to friends, family members, colleagues, or any other third party, or otherwise use any Program Content for commercial purposes. You understand that purchasing, downloading, printing, or otherwise using the Program and Program Content in no way gives you any copyright, trademark, intellectual property or ownership rights in the Program or Program Content. It is still Docere Consulting Group’s property. 

Any trademarks and logos displayed on the Programs and Program Content are trademarks belonging to Docere Consulting Group unless otherwise indicated. Any use including framing, metatags or other text utilizing these trademarks, or other trademarks displayed, is strictly prohibited without Docere Consulting Group’s express written permission.

All rights not expressly granted in these Terms of Use or any express written license, are reserved by Docere Consulting Group.

Request for Permission to Use the Program Content

If you wish to use any portion of the Program Content, or any other intellectual property belonging to Docere Consulting Group in any way that is prohibited by or not expressly permitted by these Terms of Use, you must request permission in writing from Docere Consulting Group BEFORE you use such Program Content by sending an e-mail to [email protected].

If you do receive the express written permission of Docere Consulting Group, you are only granted permission to use the applicable portion of the Program Content as explicitly granted in such writing. In other words, you agree to use only the specific Program Content that Docere Consulting Group allows and only in the ways for which Docere Consulting Group has given you written permission. If you use the Program Content in ways that Docere Consulting Group does not specifically give you written permission, you agree now that you will be treated as if you had copied, duplicated and/or stolen such Program Content from Docere Consulting Group, and you consent to immediately stop using such Program Content and to take whatever actions as Docere Consulting Group may request and by the methods and in the time frame that Docere Consulting Group prescribes to protect its intellectual property and ownership rights in the Program and the Program Content, and you will be subject to penalties for Unauthorized Use and Infringement of Program Content as set forth in these Terms of Use.

Unauthorized Use and Infringement of Program Content

You understand and agree that your use of the Program Content other than as expressly authorized in these Terms of Use or by a separate written consent or assignment of Docere Consulting Group, is not permitted and is considered unauthorized use, infringement, and theft (“Unauthorized Use and Infringement”) and may give rise to a civil claim for damages and/or be a criminal offense. Docere Consulting Group reserves the right to prosecute for theft and to enforce our rights to the full extent of the law. 

In the event of your Unauthorized Use and Infringement, you agree to pay liquidated damages of the greater of five (5) times the total fees paid for the Program or $5,000, in addition to any legal or equitable remedies Docere Consulting Group may be entitled to pursue. This is not a penalty but an agreed liquidated damages charge for the Unauthorized Use and Infringement.     

You agree that any violation or threatened violation of by you of the Intellectual Property Rights terms in these Terms of Use would cause irreparable injury to Docere Consulting Group that may not be adequately compensated by damages, entitling Docere Consulting Group to obtain injunctive relief, without bond, in addition to all legal remedies.

Materials Provided By You – Your License to Docere Consulting Group; Use in Testimonials and Marketing.

When you voluntarily submit, post or upload any material such as any comments, posts, photos, designs, graphics, images, videos or other uploads or materials or other contributions (each your Submissionor collectively your Submissions), on or through the Program, including on or in any Facebook Group and/or other bulletin board services, chat areas, public or private forums, comment sections, interactive service and/or other message or communication facilities designed to enable you to communicate with other users of the Program or the public at large (collectively, “Communication Services”), you are representing that you are the owner of all such materials. By submitting, posting or uploading your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit your Submission.

ALL LIVE ONLINE CLASSES AND SESSIONS, SUCH AS ON ZOOM OR OTHER SIMILAR ONLINE CONFERENCING PLATORM, WILL BE RECORDED AND WILL BE RE-DISTRIBUTED TO PROGRAM PARTICIPATNS WHO ARE NOT PRESENT AT THE LIVE CLASS OR SESSION. DO NOT SHOW YOUR FACE OR IMAGE IF YOU DO NOT WANT IT RECORDED OR SHARED. DO NOT SHARE ANY INFORMATION YOU DO NOT WANT RECORDED, RE-DISTRIBUTED TO OTHERS, OR THAT YOU DO NOT WANT OTHERS TO SEE OR KNOW. 

When you voluntarily share any information in a live online class or session, and when you voluntarily submit, post or upload your Submission you are granting Docere Consulting Group permission and an unlimited, royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, worldwide license to use, copy, modify, transmit, sell, exploit, create derivative works from, distribute, and/or publicly perform or display the information you share and/or your Submission, in whole or in part, in any manner or medium, now known or developed in the future, for any purpose, including, without limitation, for Docere Consulting Group’s marketing, advertising or promotional efforts, and you are granting Docere Consulting Group the right to make it part of Docere Consulting Group’s current or future courses, programs and/or course or program materials. This right includes granting Docere Consulting Group use or exploitation of proprietary rights or intellectual property rights like copyright, trademark, service mark, trade secrets, patent rights or any other of your intellectual property rights under any relevant jurisdiction without any further permission from you or compensation by Docere Consulting Group to you.

You also grant Docere Consulting Group the right to use your likeness and with respect to any Submissions, to also identify you as the author and/or individual depicted in any of your Submissions by name, email address, or screen name, for any purposes, including commercial purposes, marketing, and advertising. You acknowledge that Docere Consulting Group has the right but not the obligation to use and display any of your Submissions of any kind, and that Docere Consulting Group may elect to cease the use of any of your Submissions in the Program and Program Content at any time for any reason whatsoever.

By participating in the Program, including any Communication Services, you consent to photographs, videos, and/or audio recordings, including teleconference calls, webinars, or other communications that may be made by Docere Consulting Group that may contain you, your voice and/or your likeness. In Docere Consulting Group’s sole discretion, Docere Consulting Group reserves the right to use these photographs, videos, and or/audio recordings and/or any other materials created by Docere Consulting Group in connection with your participation in the Program, without compensation to you at any time, now or at any time in the future including, without limitation, for Docere Consulting Group’s marketing, advertising, or promotional efforts. 

This means you give Docere Consulting Group permission to use anything you submit or post the Program, including any Communication Services, or any third-party forum or website operated by Docere Consulting Group, or anything captured by Docere Consulting Group during your participation in the Program, including images of you and images of you in which your face is visible and recognizable, in any manner or medium and for any purpose.   

Your Conduct in the Program and Communication Services

Confidentiality of other Program Participants.

You agree to keep all information you learn about other Program participants, their business, or clients (as applicable), strictly confidential except in very rare circumstances where disclosure is required by law.

Participant Conduct Guidelines

You are responsible for your Submissions, which includes anything you submit, comment, post or upload, and for any liability that may result from any such Submissions. You participate, submit, comment, post and upload your Submissions at your own risk. 

We strive to create a safe space for all participants in our Programs. Any comments whether in a live group call or in a group form must be respectful. You may not communicate or submit any content or material that is harassing in nature, rude, racist, abusive, vulgar, threatening, knowingly false, defamatory, or obscene or otherwise in violation of any law or the rights of others. Bullying or other comments that makes other users of the Program feel poorly will not be tolerated. You are not permitted to use any portion of our Programs to solicit or collect data from other group members (including their names and contact information). You may not directly contact other group members without their express permission. You agree to follow any rules disseminated by Docere Consulting Group.

You also agree to use any Docere Consulting Group forums and Communication Services, including any Facebook groups, only to post, send and receive messages and material that are related to the Program. You are NOT permitted to us our Programs to advertise your own business or offer to sell any goods or services for any business purpose, or to transmit, send or deliver unsolicited communications or for other marketing or advertising purposes.

Docere Consulting Group Rights with Respect to Communications Services and Forums.

Docere Consulting Group reserves the right, in its sole discretion, to edit, modify, delete, refuse to post, or otherwise remove, in whole or part, any of your Submissions on any Communication Services or on any website and any third-party forums operated by Docere Consulting Group as well as to terminate your access to the Program and/or any or all of the Communication Services at any time without notice in our sole discretion. Docere Consulting Group does not, however, have any obligation to monitor the Communication Services or any posts, comments, or material submitted by third parties. 

The views of any users or participants of the Program and Communication Services do not necessarily reflect those of Docere Consulting Group. Docere Consulting Group neither endorses nor makes any representations as to the truthfulness or validity of any posts, comments, information, or material found on any Communication Services made by other Program participants. Therefore, Docere Consulting Group shall not be responsible for and specifically disclaims any and all liability arising from or relating to any loss or damage caused by third-party posts, comments, or materials on any Communication Services and any actions resulting from your participation in any Communication Service. 

Docere Consulting Group reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process, or governmental request.

Confidentiality and Privacy Policy 

Please review the Privacy Policy for how all of your information is handled as well as your rights around such information. 

Please choose carefully the information you voluntarily share for viewing by others in the Program, including any online live classes and sessions, any Communication Services, any website or social media sites, or in any third-party forums operated by Docere Consulting Group, as anything you share also can be seen, collected and used others, and become public. Any personal information you voluntarily share as part of your Participation in the Program, whether on any Communication Services or in any live webinars or conference calls, or any other method of communications related to the Program and Program Content, is done at your own risk. Docere Consulting Group cannot guarantee your privacy for what you voluntarily share, and Docere Consulting Group is not responsible for any unauthorized use by others of such information that you voluntarily share. 

When you apply for, enroll in, purchase or the Program, Docere Consulting Group may seek and collect personal data and information including but not limited to your name, e-mail address, phone number, billing information, credit card or payment information, demographic information, preferences, interests, or other personally identifying information (“Confidential Information”). By providing such Confidential Information to Docere Consulting Group, you grant Docere Consulting Group permission to use and store such information. In turn, Docere Consulting Group will use best efforts to keep your Confidential Information safe, secure and confidential in accordance with these Terms of Use and the Privacy Policy. 

However, due to the nature of the Internet, no data transmission over the Internet can be guaranteed to be completely secure. As a result, Docere Consulting Group cannot ensure or warrant the security of your Confidential Information or of any other data or information you transmit via the Internet. By transmitting any Confidential Information, data or other information to Docere Consulting Group, you accept that and acknowledge that you do so at your own risk. Docere Consulting Group has security measures in place to prevent the loss, misuse, and alteration of the information that is obtained from you, but Docere Consulting Group makes no assurances about the ability to prevent any such loss, misuse, to you or to any third party arising out of any such loss, misuse, or alteration. 

All Confidential Information will be held in confidentiality and will not be disclosed to third parties, except that Docere Consulting Group may disclose Confidential Information and personally identifiable information: (1) pursuant to these Terms of Use and the Privacy Policy, (2) if required to do so by law, (3) in the good-faith belief that such action is necessary to conform to the law, (4) to comply with any legal process served on either Docere Consulting Group or its partners, sponsors, investors, or affiliates, (5) to protect and defend its rights or property or those of other users or purchasers of the Program, (6) to enforce these Terms of Use, and/or (7) to act as immediately necessary in order to protect the personal safety of other users, purchasers, or the public. 

Accessing the Program; Username and Password

During the registration process for our Programs, you agree to provide true, accurate, current and complete information about yourself. To access our Programs and/or certain features of the Program, including any private membership areas, you will need a username and password. You agree to keep your username and password confidential. You are not permitted to share your username and/or password to your account with anyone at any time. 

If Docere Consulting Group has reasonable grounds to suspect that you have provided false information including a false e-mail address, shared your username and/or password with anyone else, provided anyone else access to your account or forwarded any non-public material from a Program to any other person, Docere Consulting Group reserves the right to immediately suspend or terminate your account and your access to all Programs including without limitation, any Communication Services such as for example, private forums, Facebook groups or any other related communications, and to refuse any and all current or future use of the Program or any Program Content, in whole or in part, without refund in addition to pursuing damages for Unauthorized Use and Infringement.

Docere Consulting Group reserves the right to withdraw or amend the Program in its sole discretion without notice. Docere Consulting Group will not be liable if for any reason all or any part of the Program or Program Content is unavailable at any time or for any period. From time to time, Docere Consulting Group may restrict access to some or all of the Program to users, including registered users if deemed necessary to update the Program or its Contents.

No Guarantees of Results

You understand, acknowledge, and agree that Docere Consulting Group makes no guarantees about the results of purchasing or taking any action, whether recommended on or in a Program or not. Termination

In such case, you will be sent an e-mail to the e-mail address you provided upon purchase of the Program alerting you of this. In the event of cancellation or termination, you are no longer authorized to access the part of the Program or Program Content affected by such cancellation or termination. 

All of the terms of these Terms of Use, including but not limited to, all copyright, trademark, and intellectual property rights, disclaimers, limitations of liability, release of claims, and the Refund Policy will still apply now and in the future, even after termination by you or Docere Consulting Group.

Governing Law and Dispute Resolution

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Oregon where Docere Consulting Group is registered, regardless of the conflict of laws principles. 

It is hoped that you will have no dispute with Docere Consulting Group However, should a dispute arise between you and Docere Consulting Group, we would like to be able to work it out amicably through e-mail correspondence. Therefore, it is requested that you contact Docere Consulting Group via e-mail at [email protected] in attempt to resolve any dispute prior to seeking legal action and include your reasons for dissatisfaction.

However, should we be unable to resolve any potential dispute within a reasonable time, you agree now that the only method of legal dispute resolution that will be used is binding arbitration before a single arbitrator, selected jointly, in accordance with the American Arbitration Association Rules. You understand and agree now that the only remedy that can be awarded to you through arbitration is full refund of your payment made to purchase the Program as of the date of such dispute. No other actions or financial awards of consequential damages, or any other type of damages, may be granted to you. We both agree now that the decision of the arbitrator is final and binding and may be entered as a judgment into any court having the appropriate jurisdiction.  

You also agree that should arbitration take place, it will be held in Amity, Oregon, and the prevailing party shall be entitled to all reasonable attorneys’ fees and all costs necessary to enforce the decision of the arbitrator.

By purchasing the Program, you are agreeing to a modification of the statute of limitations such that any arbitration must be begun within one (1) year of the date of your e-mail to Docere Consulting Group referenced above, or you waive the right to seek dispute resolution by arbitration or to take any other legal action related to the Program or these Terms of Use.

Users Outside United States

Docere Consulting Group controls and operates the Programs from offices in the United States. Docere Consulting Group does not represent that the materials on any Program are appropriate or available for use in other locations. People who choose to access a Program from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

Severability

You expressly agree that these Terms of Use are intended to be as broad and inclusive as permitted by the law of the State of Oregon, and that if any portion of these Terms of Use is held invalid, void or unenforceable for any reason, then that portion shall be deemed severed from these Terms of Use and it shall not affect the validity or enforceability of the remainder of the Terms of Use which shall be given full legal force and effect. 

Changes to Terms of Use

Docere Consulting Group may change, modify, or update these Terms of Use at any time. Any access or use of the Program or Program Content by you after Docere Consulting Group publicly posts or distributes such changes shall constitute consent of such modifications.
